Welcome to Colony Manager ("Colony," "we," "our," or "us"), an AI-powered collaborative workspace owned and operated by The Coast Global Inc.

Colony Manager provides organizations, teams, and individual professionals with an integrated platform for collaboration, project management, customer relationship management (CRM), knowledge management, workflow automation, calendars, document management, artificial intelligence ("AI") assisted productivity, and related business operations.

These Terms of Service ("Terms") govern your access to and use of Colony Manager, including our website, applications, APIs, integrations, software, and related services (collectively, the "Services").

These Terms constitute a legally binding agreement between you and The Coast Global Inc.

By accessing or using the Services, creating an account, or otherwise indicating your acceptance of these Terms, you agree to be bound by them.

If you do not agree to these Terms, you must not access or use the Services.

By using the Services, you represent and warrant that:

• •You have read and understood these Terms;
• •You agree to comply with them;
• •You have the legal capacity to enter into a binding agreement;
• •You will comply with all applicable laws and regulations when using the Services.

If you are using Colony Manager on behalf of an organization, company, government agency, educational institution, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

In that case, references to "you" include both you as an individual and the organization you represent.

To use Colony Manager, you must:

• •Be at least thirteen (13) years of age, or the age of legal majority in your jurisdiction. If you are between the ages of 13 and 18 (or the applicable age of majority in your jurisdiction), you should only use the Services with the involvement or permission of a parent, legal guardian, or other authorized adult where required by applicable law. ;
• •Possess the legal capacity to enter into a binding contract;
• •Not be prohibited from using the Services under applicable law;
• •Comply with any applicable export control, sanctions, or trade restrictions.

The Services are intended primarily for businesses, professionals, teams, and organizations.

Colony Manager is an AI-powered Software-as-a-Service ("SaaS") platform designed to improve productivity and collaboration.

Depending on your subscription and available features, the Services may include:

• •Project management
• •Task management
• •Customer relationship management (CRM)
• •Knowledge management
• •Team collaboration
• •Calendar management
• •File and document management
• •Workflow automation
• •Artificial intelligence assistance
• •Search functionality
• •Workspace administration
• •Integrations with third-party services
• •APIs and developer tools

We continually improve our Services.

Accordingly, features may be added, modified, replaced, suspended, or discontinued at our discretion.

Nothing in these Terms guarantees the continued availability of any specific feature unless expressly agreed in writing.

To access certain features of the Services, you must create an account.

When creating an account, you agree to:

• •Provide accurate, complete, and current information;
• •Maintain and promptly update your account information;
• •Maintain the confidentiality of your login credentials;
• •Use a secure password;
• •Notify Colony immediately of any suspected unauthorized access to your account.

You are responsible for all activities occurring under your account unless unauthorized use results solely from Colony Manager's negligence or failure to implement reasonable security measures.

We reserve the right to suspend or terminate accounts that contain false, misleading, or incomplete information or that violate these Terms.

Where multi-factor authentication ("MFA") is available, we strongly encourage users to enable it to enhance account security.

Certain Services are provided through shared workspaces managed by organizations or designated workspace administrators.

Workspace administrators may have the ability to:

• •Create and manage workspaces;
• •Invite, remove, or suspend users;
• •Assign user roles and permissions;
• •Access workspace content;
• •Configure organizational settings;
• •Manage integrations and security settings;
• •Administer subscription plans;
• •Export organizational data where supported.

If your account is associated with an organization, your use of the services may also be subject to that organization's internal policies and procedures.

Colony Manager is not responsible for decisions made by workspace administrators regarding your access to or use of organizational workspaces.

7.1 Subscription Plans

Colony Manager may offer the Services through one or more subscription plans, including free, trial, individual, team, enterprise, or other commercial offerings.

The features, usage limits, storage capacity, AI capabilities, integrations, support levels, and pricing applicable to each subscription plan will be described on our website, within the Services, or in a separate written agreement.

We reserve the right to modify, discontinue, or introduce subscription plans at any time, provided that any material changes affecting an active paid subscription will not take effect until the end of the applicable billing period unless otherwise permitted by law or agreed with you.

7.2 Fees

Where you subscribe to a paid plan, you agree to pay all applicable subscription fees, taxes, and other charges associated with your selected plan.

Unless otherwise agreed in writing:

• •Fees are payable in advance;
• •All payments are non-refundable except where required by applicable law;
• •You authorize Colony Manager or its designated payment processor to charge your selected payment method.

7.3 Renewals

Subscriptions may automatically renew at the end of each billing period unless cancelled before the renewal date.

You may cancel your subscription through your account settings or by contacting Colony Manager before the next renewal date.

Cancellation prevents future billing but does not automatically entitle you to a refund for the current billing period.

7.4 Taxes

You are responsible for any taxes, duties, levies, or governmental charges associated with your use of the Services, except taxes imposed on Colony Manager's income.

7.5 Future Commercial Features

As Colony Manager continues to evolve, certain features - including AI functionality, integrations, storage limits, enterprise capabilities, or premium services - may become available only under specific subscription plans.

Colony Manager reserves the right to introduce usage limits, fair use policies, or additional fees for such features upon reasonable notice.

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You must not use Colony Manager in any manner that could interfere with the operation, security, integrity, or availability of the Services or infringe the rights of others.

Without limitation, you agree that you will not:

Illegal Activities

• •Violate any applicable law or regulation;
• •Facilitate fraudulent, deceptive, or unlawful conduct;
• •Use the Services for illegal transactions or activities.

Harmful Content

You must not upload, transmit, create, store, or share content that:

• •Is unlawful;
• •Infringes intellectual property rights;
• •Contains malicious code;
• •Contains viruses, worms, ransomware, spyware, or other harmful software;
• •Promotes violence, terrorism, or criminal activity;
• •Constitutes harassment, hate speech, or discriminatory conduct;
• •Violates another person's privacy or publicity rights.

Platform Misuse

You must not:

• •Interfere with the proper functioning of the Services;
• •Attempt to gain unauthorized access to any system or account;
• •Circumvent security measures;
• •Probe, scan, or test vulnerabilities without authorization;
• •Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services except where expressly permitted by law;
• •Overload or disrupt our infrastructure;
• •Use bots or automated systems in a manner that negatively impacts the Services.

Misuse of AI Features

When using Colony Manager's AI-powered capabilities, you agree not to:

• •Submit unlawful or harmful prompts;
• •Intentionally generate malicious code;
• •Attempt to manipulate AI systems in ways that compromise security;
• •Use AI features to produce fraudulent or deceptive content;
• •Knowingly use AI outputs to infringe intellectual property rights;
• •Rely on AI-generated responses as a substitute for professional legal, medical, financial, accounting, or other regulated advice.

Unauthorized Commercial Use

Except where expressly permitted, you may not:

• •Resell the Services;
• •Sublicense access to the platform;
• •Create competing products using Colony Manager;
• •Scrape or systematically extract platform data;
• •Mirror or copy substantial portions of the Services.

Enforcement

Colony Manager reserves the right to investigate suspected violations of these Terms.

Where appropriate, we may suspend or terminate accounts, remove content, restrict access, cooperate with law enforcement, or take any other action reasonably necessary to protect the Services, our users, or third parties.

Colony Manager provides artificial intelligence ("AI") capabilities to assist users with productivity, collaboration, workflow automation, content generation, knowledge management, and related business activities.

These features are intended to assist users and should not replace independent judgment or professional advice.

9.1 AI Outputs

AI-generated responses are produced automatically using machine learning technologies.

Although Colony Manager strives to provide useful and reliable AI functionality, AI-generated outputs:

• •May contain inaccuracies;
• •May be incomplete;
• •May become outdated;
• •May not reflect current laws, regulations, or best practices;
• •May produce unexpected or inconsistent results.

You are solely responsible for reviewing, validating, and determining whether AI-generated content is appropriate for your intended use.

9.2 No Professional Advice

AI-generated content does not constitute legal, financial, tax, accounting, medical, engineering, compliance, or other professional advice.

Any decisions made based on AI-generated information remain solely your responsibility.

9.3 User Responsibility for AI Inputs

You are responsible for all prompts, documents, files, and other information submitted to AI-powered features.

You represent and warrant that you have all necessary rights, permissions, and legal authority to submit such information for processing.

You should avoid submitting information that is highly confidential, legally privileged, export-controlled, or otherwise subject to restrictions unless you have determined that doing so is appropriate and authorized.

9.4 Third-Party AI Providers

Certain AI functionality is provided through trusted third-party providers engaged by Colony Manager.

By using AI-powered features, you acknowledge that information necessary to process your request may be transmitted to such providers in accordance with our Privacy Policy.

Colony Manager seeks to use enterprise-grade AI services that provide appropriate contractual commitments regarding privacy and security, but we are not responsible for the independent operation of third-party AI providers.

9.5 Service Evolution

Artificial intelligence technologies continue to evolve rapidly.

Colony Manager may modify, replace, improve, or discontinue AI models, features, providers, or functionality at any time in order to improve performance, reliability, security, compliance, or user experience.

Such changes do not constitute a breach of these Terms.

10.1 Ownership of User Content

As between you and Colony Manager, you retain ownership of all content, data, documents, files, communications, prompts, projects, notes, customer records, and other materials that you create, upload, submit, transmit, or store through the Services ("User Content").

Nothing in these Terms transfers ownership of your User Content to Colony Manager.

10.2 License Granted to Colony Manager

In order to operate and provide the Services, you grant Colony Manager a worldwide, non-exclusive, royalty-free, sublicensable (solely as necessary to provide the Services), and limited license to:

• •Host;
• •Store;
• •Reproduce;
• •Process;
• •Transmit;
• •Display;
• •Format;
• •Back up;
• •Analyze; and
• •Otherwise use your User Content,

Solely to the extent necessary to:

• •Provide and maintain the Services;
• •Enable collaboration within authorized workspaces;
• •Perform AI-assisted processing requested by you;
• •Maintain security;
• •Troubleshoot technical issues;
• •Comply with legal obligations;
• •Improve the functionality and reliability of the Services using aggregated or de-identified information where appropriate.

This license automatically terminates when your User Content is permanently deleted from our systems, except to the extent retention is required by law, necessary for backup restoration, dispute resolution, or permitted under our Privacy Policy.

10.3 Responsibility for User Content

You are solely responsible for all User Content submitted through your account.

You represent and warrant that:

• •You own the User Content or have all necessary rights, licenses, permissions, and authority to use and submit it;
• •Your User Content does not infringe the intellectual property, privacy, publicity, confidentiality, or other legal rights of any third party;
• •Your User Content complies with these Terms and all applicable laws.

Colony Manager does not routinely review User Content before it is uploaded and does not endorse or verify its accuracy.

10.4 Removal of Content

Colony Manager reserves the right, but not the obligation, to remove, restrict access to, or disable User Content where we reasonably believe that such content:

• •Violates these Terms;
• •Infringes applicable law;
• •Threatens the security or integrity of the Services;
• •Infringes the rights of another person; or
• •May expose Colony Manager to legal liability.

Where appropriate, we may provide notice before removing User Content unless doing so would compromise security, violate legal obligations, or otherwise be inappropriate.

10.5 AI Processing of User Content

Where you choose to use AI-powered features, your User Content may be processed by Colony Manager and its trusted AI service providers solely for the purpose of providing the requested AI functionality.

Such processing is governed by these Terms and our Privacy Policy.

11.1 Ownership of the Services

The Services, including Colony Manager's:

• •Software;
• •Source code;
• •Object code;
• •Algorithms;
• •Workflows;
• •Artificial intelligence implementations;
• •Databases (excluding User Content);
• •User interface;
• •Visual design;
• •Graphics;
• •Logos;
• •Trademarks;
• •Service marks;
• •Documentation;
• •APIs;
• •Proprietary methodologies; and
• •All related intellectual property rights,

are owned by or licensed to The Coast Global Inc. and are protected by applicable intellectual property, copyright, trademark, trade secret, and other laws.

Except for the limited rights expressly granted under these Terms, no license or ownership rights are transferred to you.

11.2 Limited License to Use the Services

Subject to your compliance with these Terms, Colony Manager grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal personal or business purposes during your subscription or authorized access period.

11.3 Restrictions

Except where expressly permitted by applicable law or with our prior written consent, you may not:

• •Copy, reproduce, distribute, or publicly display the Services;
• •Modify, adapt, or create derivative works from the Services;
• •Reverse engineer, decompile, or disassemble any portion of the Services;
• •Remove or alter proprietary notices;
• •Use Colony Manager's trademarks without authorization;
• •Use the Services to build or support a competing product or service.

11.4 Feedback

If you submit feedback, suggestions, ideas, enhancement requests, or recommendations regarding the Services ("Feedback"), you grant Colony Manager a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, publish, and otherwise exploit such Feedback without restriction or obligation to compensate you.

You acknowledge that providing Feedback is voluntary.

Colony Manager integrates with, relies upon, or may make available certain third-party products and services to provide or enhance the functionality of the Services.

These may include, without limitation:

• •Artificial intelligence providers;
• •Cloud infrastructure providers;
• •Authentication services;
• •Communication platforms;
• •Productivity tools;
• •Application monitoring services;
• •Analytics providers;
• •Email delivery services; and
• •Other authorized integrations.

12.1 Independent Services

Third-party services are operated independently of Colony Manager and are subject to their own terms, conditions, and privacy practices.

Colony Manager does not own or control such third-party services and is not responsible for their availability, performance, security, or privacy practices.

12.2 Third-Party Terms

Your use of third-party integrations may require you to agree to separate agreements with the relevant provider.

You are responsible for reviewing and complying with those terms.

12.3 Changes to Integrations

Colony Manager may add, modify, replace, suspend, or discontinue integrations with third-party services at any time.

Such changes will not constitute a breach of these Terms.

12.4 Third-Party Outages

Colony Manager shall not be responsible for interruptions, delays, errors, security incidents, or service failures caused by third-party providers outside our reasonable control.

Where commercially reasonable, we will make reasonable efforts to restore functionality or identify suitable alternatives.

Your privacy is important to us.

Our collection, use, disclosure, retention, and protection of personal information are governed by our Privacy Policy, which forms an integral part of these Terms.

By using the Services, you acknowledge that you have read and understood our Privacy Policy.

Where there is any inconsistency between these Terms and the Privacy Policy regarding the processing of personal information, the Privacy Policy will govern solely with respect to privacy and data protection matters.

If you are an enterprise customer acting as a data controller under applicable data protection laws, additional terms, including a Data Processing Agreement ("DPA"), may apply to the processing of personal information on your behalf.

14.1 Confidential Information

In the course of using the Services, you or Colony Manager may disclose or make available certain non-public, confidential, proprietary, or commercially sensitive information ("Confidential Information").

Confidential Information may include, without limitation:

• •Business strategies;
• •Technical information;
• •Software architecture;
• •Source code;
• •Product roadmaps;
• •Security procedures;
• •Pricing information;
• •Customer information;
• •Trade secrets;
• •Non-public documentation; and
• •Any information designated as confidential or that would reasonably be understood to be confidential by its nature.

Confidential Information does not include information that:

• •Is or becomes publicly available through no breach of these Terms;
• •Was lawfully known by the receiving party before disclosure;
• •Is independently developed without reference to the confidential Information; or
• •Is lawfully obtained from a third party without restriction.

14.2 Confidentiality Obligations

Each party agrees to:

• •Use Confidential Information only for purposes related to these Terms;
• •Protect Confidential Information using at least reasonable care;
• •Restrict access to individuals who have a legitimate need to know and who are bound by appropriate confidentiality obligations;
• •Not disclose confidential Information except as permitted under these Terms or required by law.

Where disclosure is required by law, the receiving party shall, where legally permitted, provide reasonable notice to the disclosing party before making such disclosure.

From time to time, Colony Manager may offer beta, preview, early access, experimental, or pre-release features ("Beta Features").

Beta Features are provided for evaluation and testing purposes and may:

• •Contain bugs or errors;
• •Be incomplete;
• •Change substantially before general release;
• •Be modified or withdrawn without notice;
• •Not perform as expected.

Beta Features are provided "as is" and "as available" without any warranty, representation, or guarantee of availability, accuracy, performance, or suitability.

Your use of Beta Features is entirely voluntary and at your own risk.

Any feedback you provide regarding Beta Features may be used by Colony Manager in accordance with Section 11.4 (Feedback).

16.1 Service Availability

Colony Manager will use commercially reasonable efforts to make the Services available; however, we do not guarantee uninterrupted, continuous, or error-free operation.

The Services may occasionally be unavailable due to:

• •Scheduled maintenance;
• •Emergency maintenance;
• •Software updates;
• •Infrastructure upgrades;
• •Security incidents;
• •Failures of third-party providers;
• •Circumstances beyond our reasonable control.

16.2 Updates

We may periodically update, improve, patch, or modify the Services to:

• •Improve functionality;
• •Address security vulnerabilities;
• •Comply with legal requirements;
• •Enhance performance;
• •Introduce new features.

Some updates may be installed automatically where necessary to maintain the security, integrity, or proper functioning of the Services.

16.3 Feature Changes

We reserve the right to:

• •Introduce new features;
• •Discontinue existing features;
• •Modify workflows;
• •Adjust usage limits;
• •Replace third-party integrations;
• •Redesign the user interface.

Such changes do not constitute a breach of these Terms.

17.1 Suspension by Colony Manager

We may temporarily suspend or restrict access to all or part of the Services where reasonably necessary to:

• •Protect the security or integrity of the Services;
• •Prevent fraud or abuse;
• •Comply with legal obligations;
• •Respond to lawful governmental requests;

Where practicable, we will provide advance notice of a suspension.

17.2 Termination by You

You may stop using the Services at any time.

Where you have a paid subscription, cancellation will take effect in accordance with your subscription terms.

Termination does not relieve you of any outstanding payment obligations accrued before termination.

17.3 Termination by Colony Manager

We may terminate or suspend your account immediately if:

• •You materially breach these Terms;
• •You engage in unlawful or fraudulent activity;
• •Your use presents a security risk;
• •Required by law;
• •Necessary to protect Colony Manager, other users, or third parties.

Where appropriate, we may provide an opportunity to remedy a breach before termination.

17.4 Effect of Termination

Upon termination:

• •your license to use the Services immediately ends;
• •access to your account may be disabled;
• •we may delete or anonymize information in accordance with our Privacy Policy and Data Retention practices;
• •provisions intended to survive termination will remain in effect.

Termination does not affect any rights or obligations that accrued before termination.

The services are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable Law.

To the fullest extent permitted by Law, The Coast Global Inc. disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of:

• •Merchantability;
• •Fitness for a particular purpose;
• •Title;
• •Non-infringement;
• •Quiet enjoyment; and
• •Accuracy or reliability of information.

Without limiting the foregoing, Colony Manager does not warrant that:

• •The services will operate without interruption;
• •The services will be error-free;
• •Defects will always be corrected;
• •The services will meet every user's requirements;
• •Ai-generated outputs will be accurate, complete, or suitable for any particular purpose.

You acknowledge that your use of the services is at your own risk.

19.1 Indirect Damages

To the maximum extent permitted by applicable law, the coast global inc., its affiliates, directors, officers, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the services or these terms.

This includes, without limitation:

• •Loss of profits;
• •Loss of revenue;
• •Loss of business opportunities;
• •Loss of goodwill;
• •Loss of data;
• •Business interruption;
• •Procurement of substitute services; or
• •Any other commercial or economic loss,

Even if we have been advised of the possibility of such damages.

19.2 Maximum Liability

To the maximum extent permitted by law, the total aggregate liability of the Coast Global Inc. arising out of or relating to these terms or the services shall not exceed the greater of:

• •The total fees paid by you to colony manager during the twelve (12) months immediately preceding the event giving rise to the claim;

Some jurisdictions do not permit certain liability limitations. Where applicable law prohibits these limitations, they shall apply only to the maximum extent permitted.

19.3 Basis of the Bargain

You acknowledge that the pricing of the Services and Colony Manager's willingness to provide access to the Services are based upon the allocation of risk reflected in these Terms, including the disclaimers and limitations of liability.

These provisions form an essential basis of the agreement between you and Colony Manager.

You agree to defend, indemnify, and hold harmless The Coast Global Inc., its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, actions, liabilities, damages, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

• •Your use of the Services;
• •Your User Content;
• •Your violation of these Terms;
• •Your violation of applicable law;
• •Your infringement of the intellectual property, privacy, or other rights of a third party;
• •Your misuse of AI-powered features;
• •Any unauthorized use of your account resulting from your failure to protect your credentials.

Colony Manager reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully in the defense of such matter.

21.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

21.2 Informal Resolution

Before commencing legal proceedings, the parties agree to make reasonable efforts to resolve any dispute through good-faith discussions.

Either party may notify the other of a dispute in writing, and the parties shall attempt to resolve the matter within thirty (30) days before initiating formal proceedings, unless urgent injunctive relief is required.

21.3 Venue

Unless otherwise required by applicable law, any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the governing state identified above.

Each party irrevocably submits to the jurisdiction of those courts.

21.4 International Users

Users accessing the Services from outside the United States acknowledge that they do so voluntarily and are responsible for complying with applicable local laws.

Nothing in these Terms limits any mandatory consumer or data protection rights that cannot lawfully be excluded under the laws of the user's jurisdiction.

Colony Manager may revise these Terms from time to time to reflect:

• •Changes in applicable laws or regulations;
• •Updates to the Services;
• •New features or technologies;
• •Security enhancements;
• •Operational improvements; or
• •Changes to our business practices.

When material changes are made, we will provide notice through appropriate channels, which may include:

• •Any other reasonable method permitted by law.

The "Last Updated" date at the beginning of these Terms indicates when the current version became effective.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those revised Terms, except where applicable law requires additional notice or affirmative consent.

23.1 Entire Agreement

These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and The Coast Global Inc. concerning your use of the Services.

23.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid provision shall be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its original intent.

23.3 Waiver

No failure or delay by Colony Manager in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.

23.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Colony Manager may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, sale of assets, or by operation of law.

23.5 Force Majeure

Colony Manager shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, internet or telecommunications failures, cyberattacks, epidemics, pandemics, or failures of third-party infrastructure providers.

23.6 Electronic Communications

By using the Services, you consent to receive communications electronically from Colony Manager, including notices relating to your account, security, legal updates, and these Terms.

Electronic communications satisfy any legal requirement that such communications be in writing.

23.7 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment relationship, agency, fiduciary relationship, or franchise between you and Colony Manager.

23.8 Survival

The following provisions shall survive termination of these Terms to the extent necessary to give them effect:
